1. Agreement to Terms

By accessing, browsing, or purchasing from seekthemes ("we," "us," "our"), you ("User," "you," "your") acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and seekthemes.

If you do not agree to these Terms, you must immediately discontinue use of our website and services. Your continued use of our services following any modifications to these Terms constitutes acceptance of those changes.

2. Eligibility

You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to make purchases on our platform. By making a purchase, you represent and warrant that you meet this age requirement.

If you are purchasing on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration & Security

To access certain features and make purchases, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach.

We reserve the right to suspend or terminate accounts that we reasonably believe are being used in violation of these Terms, for fraudulent purposes, or for any other reason at our sole discretion.

4. License Grant & Usage Rights

4.1 License Types

Upon purchase and payment in full, we grant you a non-exclusive, non-transferable, non-sublicensable license to use the purchased digital product ("Product") subject to the following terms:

  • Single-Use License: Authorizes use on one (1) production domain or server
  • Multi-Use License: If explicitly purchased, authorizes use on the specified number of domains/servers

4.2 Lifetime Usage vs. Limited Updates

Important: Your right to use downloaded Product files is perpetual and lifetime. Once you download a Product, you may continue using those files indefinitely.

However, access to updates, new versions, and support is limited to the license duration specified at the time of purchase (e.g., 1 month, 3 months, lifetime). After your license period expires, you retain the right to use previously downloaded files but will not have access to new updates or support unless you renew your license.

4.3 Permitted Use

  • Modify, customize, and adapt the Product for your own use
  • Use on one production domain/server per license purchased
  • Use on unlimited local development and staging environments
  • Create derivative works for your own projects

4.4 Prohibited Use

You expressly agree NOT to:

  • Redistribute, resell, lease, sublicense, or share the Product with any third party
  • Include the Product in any open-source project or publicly accessible repository
  • Use on multiple production domains/servers without purchasing additional licenses
  • Remove, alter, or obscure any copyright notices, watermarks, or proprietary legends
  • Claim the Product as your own original work
  • Use the Product for any unlawful purpose or in violation of any applicable laws
  • Reverse engineer, decompile, or attempt to extract the source code (except where permitted by law)
  • Transfer your license to another party without our prior written consent
  • Share account access or login credentials with unauthorized users

5. License Verification & Anti-Piracy

Our Products may include license verification mechanisms to prevent unauthorized use and piracy. By purchasing and using our Products, you consent to these verification measures.

We actively monitor for unauthorized distribution and use of our Products. If we detect that a Product is being used without a valid license or in violation of these Terms, we reserve the right to:

  • Immediately revoke the license without refund
  • Disable or limit functionality of the Product
  • Pursue legal action and seek damages
  • Report the violation to relevant authorities

6. Purchases & Payment

All purchases are processed through secure third-party payment processors. By making a purchase, you agree to provide accurate and complete billing information and authorize the charge to your selected payment method.

Prices are displayed in USD and are exclusive of applicable taxes, which will be calculated and added at checkout based on your location. You are responsible for paying all taxes associated with your purchase.

We reserve the right to modify pricing at any time. Price changes will not affect orders that have already been completed.

7. Refund Policy

No Refunds After Download

Due to the digital nature of our Products, all sales are final once the Product has been downloaded. By downloading a Product, you acknowledge that you have received the Product and waive any right to a refund.

7.1 Pre-Download Refunds

If you have NOT downloaded the Product, you may request a refund within 7 days of purchase in the following limited circumstances:

  • Accidental duplicate purchase (verified by our records)
  • Technical issue preventing access to the Product that we cannot resolve
  • Product materially differs from its advertised description

7.2 Non-Refundable Situations

Refunds will NOT be provided for:

  • Any purchase where the Product has been downloaded
  • Change of mind or no longer needing the Product
  • Failure to read the Product description before purchasing
  • Incompatibility with third-party software, plugins, or hosting environments
  • Lack of technical knowledge to install or use the Product
  • Purchases made more than 7 days ago
  • License renewals

7.3 Refund Process

To request a refund, contact us at [email protected] with your order number and reason for the request. Approved refunds will be processed within 5-10 business days to the original payment method.

8. Chargebacks & Disputes

If you have an issue with a purchase, you agree to contact us first to attempt resolution before initiating a chargeback or payment dispute with your bank or payment provider.

Initiating a chargeback or payment dispute without first contacting us will result in immediate and permanent termination of your account and revocation of all licenses. You will be banned from future purchases.

Fraudulent chargebacks (chargebacks filed after downloading and using the Product) may be reported to fraud prevention databases and may result in legal action to recover the disputed amount plus associated fees and damages.

9. Support & Updates

9.1 What's Included

During your active license period, you receive:

  • Access to Product updates and new versions
  • Email support for technical issues and bugs
  • Access to documentation and installation guides

9.2 What's NOT Included

  • Custom development or modifications
  • Integration with third-party services or software
  • Training or educational services
  • Support for modified or altered Products
  • Support for issues caused by third-party software or hosting
  • Support after license expiration (renewal required)

9.3 Response Times

We aim to respond to support requests within 24-48 business hours. Response times may vary during weekends, holidays, and periods of high volume. Support is provided in English only.

10. Intellectual Property

All Products, including but not limited to templates, designs, code, graphics, documentation, and other content, are protected by copyright, trademark, and other intellectual property laws. seekthemes and/or its licensors retain all ownership rights, title, and interest in the Products.

Your purchase grants you a limited license to use the Product as specified in these Terms. No ownership or intellectual property rights are transferred to you.

The seekthemes name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of seekthemes. You may not use such marks without our prior written permission.

11. User Content & Reviews

If you submit reviews, comments, or other content to our platform, you grant us a non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, and display such content.

You represent that you own or have the necessary rights to the content you submit, and that such content does not violate any third-party rights or applicable laws.

We reserve the right to remove any user content that we deem inappropriate, offensive, or in violation of these Terms, at our sole discretion.

12. Disclaimer of Warranties

OUR PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE PRODUCTS WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.

YOU ACKNOWLEDGE THAT YOU USE OUR PRODUCTS AT YOUR OWN RISK AND THAT YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QSEEK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless seekthemes and its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your use of our Products, or your violation of any rights of a third party.

15. License Revocation & Account Termination

We reserve the right to revoke your license and/or terminate your account immediately and without prior notice if:

  • You violate any provision of these Terms
  • You engage in fraudulent activity, including fraudulent chargebacks
  • You redistribute, share, or pirate our Products
  • You use the Products for illegal purposes
  • A refund is issued for your purchase (voluntary or involuntary)
  • We reasonably believe you pose a risk to our business or other users

Upon revocation or termination, you must immediately cease all use of the affected Products and destroy all copies in your possession. No refund will be provided for revoked licenses.

16. Third-Party Services

Our website and Products may contain links to or integrate with third-party websites, services, or software. We are not responsible for the content, privacy practices, or availability of such third-party services.

Your use of third-party services is governed by their respective terms and policies. We make no warranties or representations regarding third-party services and shall not be liable for any damages arising from your use of such services.

Payment processing is handled by third-party payment processors. Your payment information is subject to their privacy policies and terms of service.

17. Modifications to Terms

We reserve the right to modify these Terms at any time at our sole discretion. We will notify users of material changes by updating the "Last updated" date at the top of this page. 18. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which seekthemes operates, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of our Products shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration body.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against seekthemes.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific Products, constitute the entire agreement between you and seekthemes regarding your use of our services and supersede all prior agreements, understandings, and communications, whether written or oral.

21. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by seekthemes.
